General Terms and Conditions (AGB)

These General Terms and Conditions (AGB) apply to all contracts, services, and business relationships between NowAIdata, Hamburg, Germany, and its clients. The AGB governs the provision of process automation services, including consulting, development, implementation, and ongoing support. By engaging our services, the client agrees to these terms and conditions.

 The contract between NowAIdata and the client is formed when the client accepts the offer provided by NowAIdata, either in writing, via email, or through the company's website. A contract becomes legally binding upon confirmation of the order by NowAIdata, either through an order confirmation or upon the commencement of the service. 

NowAIdata offers process automation services, which may include the design, development, integration, and support of automated systems for clients. The specific scope of services will be outlined in the individual contract or project agreement. Any changes or additions to the scope of services must be agreed upon in writing.

 All prices quoted are exclusive of VAT unless otherwise stated. Prices are determined based on the scope of work as agreed upon in the individual contract. Invoices are due and payable within [30] days of the invoice date unless otherwise agreed in writing. Payment can be made via bank transfer or any other method mutually agreed upon. Late payments may incur interest charges as permitted by law. 

 Service delivery timelines will be agreed upon in the individual contract. NowAIdata will make every reasonable effort to meet agreed deadlines; however, delays due to unforeseen circumstances such as technical difficulties or client delays will not be the responsibility of NowAIdata. In case of such delays, a new delivery timeline will be negotiated. 

The client agrees to provide all necessary information, data, and resources required for NowAIdata to deliver its services efficiently. The client is responsible for ensuring that the information provided is accurate and complete. Any delays or additional costs arising from the client’s failure to meet these obligations will be borne by the client.

 NowAIdata warrants that the services provided will be performed with reasonable skill and care. In the event of defects or issues with the services, the client must notify NowAIdata in writing within [30] days of discovering the issue. NowAIdata will, at its discretion, either rectify the defect or offer an alternative solution. Liability is limited to direct damages, and NowAIdata is not responsible for indirect, consequential, or incidental damages unless caused by gross negligence or willful misconduct. 

 Both parties agree to keep confidential all proprietary and sensitive information exchanged during the course of the contract. This includes technical data, processes, business strategies, and any other information that is not publicly available. This confidentiality obligation remains in effect even after the termination of the contract. 

NowAIdata adheres to the regulations set forth by the General Data Protection Regulation (GDPR) and any other applicable data protection laws. The client’s data will be collected, processed, and stored only as necessary to fulfill the contractual obligations.  Either party may terminate the contract by providing [30] days' written notice. Termination for cause (e.g., breach of contract) is possible without notice if the breach is not remedied within [14] days of receiving a written warning. Upon termination, the client agrees to pay for all services rendered up to the date of termination. 

NowAIdata’s liability for any damages arising out of or in connection with the contract is limited to the total amount paid by the client under the contract. NowAIdata is not liable for any indirect, incidental, or consequential damages, including loss of revenue, unless caused by gross negligence or intentional misconduct. 

NowAIdata reserves the right to modify these General Terms and Conditions at any time. Clients will be informed of any changes in writing, and the updated terms will apply to all new contracts. Any ongoing contracts will continue under the original terms unless otherwise agreed by both parties.

If any provision of these General Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. In such a case, the invalid provision will be replaced by a valid provision that comes closest to the intent of the original.
